Software License and Deployment Agreement

1. Grant of License & Intellectual Property
Licensor grants Licensee a limited, non-transferable, non-sublicensable, royalty-free, single-tenant license to execute the TAITAFORCE software stack on a designated Virtual Private Server (VPS).
Licensee is permitted to modify user-facing cosmetic brand tokens (name, logo, color schema) of the front-end mobile application shells. All proprietary rights, copyrights, source code logic, and background algorithms remain the exclusive intellectual property of Licensor.
2. Core Deliverables & Installation
Licensor shall deploy compiled database schemas, predictive scraping modules, and API routing scripts onto the Licensee's allocated VPS environment. Licensee must provision root SSH access to allow Licensor's engineers to complete initialization.
3. Total Liability Exclusions
- Supply Chain: Licensee retains 100% responsibility for sourcing, negotiating, and executing fulfillment contracts with manufacturers.
- Customs & Logistics: Licensee is liable for international trade compliance, customs clearances, tariff payments, and warehouse management.
- Financial Compliance: Licensee must secure its own merchant accounts and payment processing gateways.
- Indemnification: Licensee shall indemnify and hold harmless Licensor from any third-party claims resulting from platform operations.
4. Fees
Licensee shall pay a one-time, non-refundable licensing fee of $24,500 USD prior to deployment execution. This license includes twelve (12) months of Tier-3 engineering maintenance.
5. Governing Law
This Agreement shall be governed by the laws of the United States and the State of Florida, without regard to conflicts of law.
